Terms of Service
The terms that govern your use of CustodyZero, its products, and its services — including early access programs, hardware, and acceptable use.

Agreement to Terms
By creating an account, joining the early access waitlist, purchasing a product, or otherwise using custodyzero.com or any CustodyZero application or hardware (collectively, the “Services”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, you may not use the Services.
These Terms are effective as of the “Last updated” date above. We may modify these Terms at any time. If we make material changes, we will notify you by email or by posting a notice on the Service. Your continued use of the Service after any such modification constitutes your acceptance of the new Terms.
What CustodyZero Does
CustodyZero builds local-first technology. Our products are designed to run on your hardware, under your control, without requiring you to send your data to our servers or any third-party cloud.
Current products:
- Factory — a change-control system for AI-assisted development. All governance artifacts are stored locally in your project directory. Open source under Apache 2.0.
- Type — a writing instrument for long-form writers and theorists. All documents, drafts, and semantic indexes are stored in your project directory on your machine. AI processing happens locally on your machine. Proprietary, one-time license per version.
The Services are instruments. CustodyZero does not have visibility into any data processed locally by our products.
Early Access Program
Some products are available under an Early Access Program before their general release. Early access is provided on an as-is basis. Features, pricing, and availability may change before or after general release.
By joining an early access waitlist or programme, you consent to receiving product updates and communications from CustodyZero at the email address you provide. You may unsubscribe at any time.
Accounts and Access
Some features of the Services require an account. You are responsible for safeguarding your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use at legal@custodyzero.com.
CustodyZero reserves the right to suspend or terminate your account at any time if you violate these Terms or if your activity poses a risk to the Service or other users.
Payments and Billing
We process all payments through Stripe. By purchasing a product, you agree to provide a valid payment method and authorize us to charge it.
Specific pricing for proprietary products will be published at the time each product is made available for purchase. Factory is free to use under Apache 2.0. All prices are in US Dollars unless otherwise stated. Applicable taxes may be added based on your billing jurisdiction.
Refunds and Cancellations

Hardware Products
When you purchase CustodyZero hardware:
- Title and risk of loss pass to you when the hardware is delivered to the shipping carrier.
- Limited warranty: CustodyZero warrants that hardware will be free from defects in materials and workmanship for 12 months from the date of delivery. This warranty does not cover damage from misuse, modification, or normal wear.
- Returns: hardware may be returned within 30 days of delivery for a full refund, provided it is in original condition. See the Refunds page for the return process.
- Repairs and replacements: defective hardware within the warranty period will be repaired or replaced at CustodyZero’s option.
CustodyZero hardware is designed to operate without a cloud subscription. No part of hardware functionality is gated behind a recurring payment.
Acceptable Use
You agree to use the Services only for lawful purposes. Specifically, you agree that you will not:
- Use the Services in any way that violates applicable law or infringes any third-party rights.
- Attempt to reverse-engineer, decompile, scrape, or otherwise extract source code or proprietary methodologies from the Services.
- Resell or redistribute CustodyZero software or hardware without a written agreement with us.
- Attempt to circumvent, disable, or interfere with security features of the Services.
Violation of these terms may result in immediate suspension or termination of your account and access to the Services.
Intellectual Property
The Services, including software, firmware, scoring methodologies, designs, and all other content, are the exclusive property of Plainsight Systems LLC and its licensors. These Terms grant you no right or license to use our intellectual property beyond the limited right to use the Services as described herein.
We grant you a limited, non-exclusive, non-transferable license to use CustodyZero software solely to operate the hardware or services you have purchased. You may not sublicense, sell, or redistribute this software.
Open Source Components
CustodyZero products may include open source software components. Those components are subject to their respective open source licenses, which are available in the product documentation or on request at legal@custodyzero.com.
Disclaimer of Warranties
The Services are provided on an “as-is” and “as-available” basis, without any warranties of any kind, either express or implied, except as required by law or as stated in a written product warranty.
Plainsight Systems LLC makes no guarantee that: (a) the Services will be uninterrupted, secure, or error-free; or (b) any product’s capabilities will perform optimally in all environments and conditions.
Local-first design means control stays with you — and so does responsibility for your configuration.
Limitation of Liability
To the maximum extent permitted by applicable law, in no event shall Plainsight Systems LLC, its affiliates, directors, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages resulting from your use of or inability to use the Services.
Plainsight Systems LLC’s aggregate liability for all claims related to the Services shall not exceed the greater of one hundred US dollars ($100) or the amount you paid CustodyZero in the 12 months preceding the claim. This limitation does not apply to liability that cannot be excluded under applicable law.
Third-Party Services
The Services use Stripe for payment processing. Your use of Stripe is subject to Stripe’s own terms and policies. CustodyZero is not responsible for the performance or security of third-party services.
Privacy
Our collection and use of personal data is described in our Privacy Policy.
Governing Law
These Terms are governed by the laws of the State of Arizona, United States, without regard to its conflict of law principles.
Any legal action or proceeding arising under these Terms will be brought exclusively in the state or federal courts located in Maricopa County, Arizona, and the parties hereby irrevocably consent to the personal jurisdiction and venue therein. This does not apply where applicable consumer protection law in your jurisdiction requires application of another law or grants you the right to bring a claim in another jurisdiction.
